In a major shake-up in the marketing technology world, Zeta Global has announced it will acquire Marigold’s enterprise software business for up to $325 million. The deal will bring several well-known platforms under Zeta’s umbrella, including Marigold Loyalty, Cheetah Digital, Selligent, Sailthru, Liveclicker, and Grow.
Notably, Marigold’s small and medium-sized business (SMB) brands – Campaign Monitor, Emma, and Vuture – are not part of the transaction. These platforms will remain with Marigold and continue operating independently, effectively splitting the company’s enterprise and SMB operations into distinct entities and raising questions about Marigold’s long-term strategy.
What’s Included in the Deal
Zeta Global, known for its AI-powered marketing cloud, says the acquisition will significantly strengthen its platform and market position. The company expects the deal to:
- Expand its enterprise client base, adding more than 100 global brands, including over 40 Fortune 500 companies.
- Accelerate its “One Zeta” model, unlocking new cross-sell and up-sell opportunities across the combined customer base.
- Extend its global footprint, especially in EMEA and APAC markets.
- Enhance its financial performance, with the acquired business being largely subscription-based and expected to contribute positively to EBITDA and free cash flow in the first year.
What It Means for Marigold’s Email Tools
While Marigold’s enterprise platforms transition to Zeta, its SMB-focused email marketing tools will remain unchanged.
- Campaign Monitor will continue supporting small businesses, nonprofits, and marketing agencies, helping them build and deliver professional email campaigns.
- Emma and Vuture will also remain part of Marigold’s SMB portfolio, allowing the company to focus more sharply on smaller-scale email marketing solutions.
This separation positions Marigold to specialize in the SMB market while Zeta scales up its enterprise capabilities.
Looking Ahead
The acquisition is expected to close by the end of 2025, subject to customary closing conditions. Zeta says it will collaborate closely with the Marigold enterprise team to ensure a seamless transition and continuity for all customers.
For marketers and email professionals, the deal signals a clear strategic shift: Marigold’s enterprise and SMB operations are now on divergent paths. As Zeta builds a stronger enterprise marketing cloud, Campaign Monitor, Emma, and Vuture will continue to thrive as independent solutions focused on the needs of smaller businesses.
