Proofpoint, a Thoma Bravo portfolio company, has completed its acquisition of Hornetsecurity for USD 1.8 billion, following the announced deal earlier this year. The transaction closed on December 8, 2025.
Hornetsecurity, based in Germany, reports nearly USD 200 million in annual recurring revenue with approximately 20% year-over-year growth. The company serves roughly 125,000 customers through about 12,000 channel partners and managed service providers (MSPs).
The acquisition provides Proofpoint with expanded reach into the European SMB market and MSP channels. Hornetsecurity’s recent acquisition of Vade in 2024 adds AI-powered email security capabilities that Proofpoint will now integrate into its broader portfolio.
Proofpoint has confirmed that Hornetsecurity’s CEO, Daniel Hofmann, and the core management team will remain post-acquisition. The Hornetsecurity platform is expected to continue serving MSP and mid-market customers, suggesting an initial separation of product lines rather than immediate consolidation.
For customers, key considerations include potential pricing changes, integration of threat intelligence, and future roadmap alignment between Proofpoint and Hornetsecurity offerings. Customers should request updated product roadmaps, confirm support and SLA commitments, and verify data-processing and residency obligations for EU operations.
